Amazon Inc. () has announced its plan to secure £4.25 billion from a sterling-denominated offering of senior unsecured notes across four series with maturities ranging from 2029 to 2045.
In a prospectus supplement filed by the company with the U.S. SEC, the offering includes £1.25 billion of 5.200% notes due 2029, along with £1 billion each of 5.550% notes due 2032, 6.250% notes due 2038 and 6.650% notes due 2045, with interest payable semi-annually on March 14 and September 14 beginning in March 2027.
Amazon expects to receive approximately £4.23 billion in net proceeds after underwriting discounts, commissions, and estimated offering expenses, while total underwriting fees for the four note series amount to about £7.65 million.
Amazon plans to use the proceeds for general corporate purposes, which may include debt repayment, acquisitions, investments, working capital, capital expenditure, investments in subsidiaries, and share repurchases.
The bonds will rank equally with Amazon’s other senior unsecured debt, with the company also seeking to list all four series on the Nasdaq Bond Exchange, where trading is expected to begin within 30 days of the original issue date, subject to approval.
Barclays, HSBC, J.P. Morgan and NatWest are acting as joint book-running managers for the offering alongside Citigroup, BofA Securities, Wells Fargo Securities, Deutsche Bank, Goldman Sachs, Morgan Stanley and other financial institutions.
