Meta Platforms Inc. (NASDAQ:META) Director Marc Andreessen reported the indirect acquisition of 212,531 shares of the company’s Class A common stock on August 4.
According to a Form 4 filed with the U.S. Securities and Exchange Commission, the shares were received by Andreessen Horowitz Fund VIII, L.P. and affiliated investment entities as consideration in connection with a business acquisition by Meta. The transaction was not a market purchase or open-market sale.
The shares are held indirectly through Andreessen Horowitz Fund VIII, L.P., which also includes positions held for related entities such as Fund VIII-B, AH 2022 Annual Fund series, and CLF Partners III, LP. Andreessen serves as a managing member of the fund’s general partner and may be deemed to have shared voting and investment power over the securities.
In addition, Andreessen reported indirect beneficial ownership of 48,773 Meta shares held by the LAMA Community Trust, where he and his spouse serve as trustees.
The filing noted that Andreessen disclaims beneficial ownership of the securities held by the Andreessen Horowitz entities, except to the extent of any pecuniary interest.
The transaction did not involve any derivative securities and no sales were reported.
